01.Introduction & Scope
This Influencer Marketing Agreement ("Agreement") is entered into between RaabtaQR ("Company", "we", "us") and the participating content creator ("Influencer", "you").
By participating in RaabtaQR's Influencer Marketing Programme and accepting payment, gifted products, or any form of compensation, the Influencer agrees to all terms set out in this document.
This Agreement applies to all content creators across Pakistan, the UAE, Saudi Arabia, the UK, EU countries, and the USA who collaborate with RaabtaQR in any promotional or sponsored capacity.
02.Scope of Services
The Influencer agrees to:
- Conceptualise, create, and publish original promotional content ("Content") featuring RaabtaQR products and/or services
- Adhere to guidelines, timelines, and quality standards communicated by RaabtaQR
- Publish Content on the agreed platforms (e.g., Instagram, TikTok, YouTube, Facebook) within the agreed timeframe
- Ensure Content remains publicly accessible and unaltered for a minimum of 12 months from the date of publication, unless otherwise agreed in writing
03.Compensation
- The Influencer shall receive a mutually agreed fee upon satisfactory completion, submission, and approval of the Content
- Payment will be made via the agreed method (bank transfer, EasyPaisa, JazzCash, or international wire transfer)
- Compensation for standard video content shall not exceed PKR 50,000 per unique video unless otherwise agreed in writing
- RaabtaQR reserves the right to withhold payment if Content does not meet agreed quality standards or violates any term of this Agreement
- All compensation is inclusive of applicable taxes. The Influencer is responsible for declaring income per their local tax obligations.
UK/EU Influencers: Payments to EU and UK creators may be subject to withholding tax obligations. RaabtaQR will issue payment documentation upon request for tax filing purposes.
04.Intellectual Property
- Upon full payment, the Influencer irrevocably assigns to RaabtaQR all worldwide rights, title, and interest in the Content, including all intellectual property rights
- RaabtaQR shall have perpetual, royalty-free rights to: use, reproduce, edit, adapt, publish, translate, distribute, and display the Content across all digital and offline media including paid advertising campaigns, social media, websites, and promotional materials
- RaabtaQR may run performance marketing advertisements using the Influencer's Content without additional compensation
- The Influencer waives any claim to royalties, residuals, or future payments related to such usage
- The Influencer retains the right to display the Content in their portfolio but may not commercially exploit it independently after assignment
05.Mandatory Tagging & Platform Requirements
- Tagging @raabataqr (or the specified official handle) in all posts is mandatory from the date of publishing
- The Influencer must ensure that no platform settings, restrictions, or practices intentionally limit the discoverability, reach, or promotional value of the Content
- Content must not be archived, restricted to followers-only, or placed behind a paywall during the 12-month minimum period
- Any platform-required disclosure (e.g., Instagram's "Paid Partnership" label) must be enabled as required by the relevant platform's policies
06.Content Standards
The Influencer warrants that all Content:
- Is original and created solely by the Influencer
- Does not infringe upon any third-party intellectual property, publicity, or privacy rights
- Aligns with RaabtaQR's brand image, values, and quality expectations
- Is not misleading, defamatory, unlawful, or offensive
- Does not contain false claims about RaabtaQR products or their capabilities
- Does not promote competing privacy tag products during the active collaboration period
07.Legal & Advertising Compliance
The Influencer agrees to comply with all applicable advertising regulations, including:
- Pakistan: PEMRA regulations on commercial advertising, and PECA provisions on digital content
- UK: ASA (Advertising Standards Authority) and CAP Code requirements, including mandatory disclosure of paid partnerships (#Ad)
- EU: EU Consumer Rights Directive, Unfair Commercial Practices Directive, and platform-specific sponsored content regulations
- USA: FTC (Federal Trade Commission) endorsement guidelines requiring clear disclosure of material connections (e.g., #Ad, #Sponsored, #RaabtaQRPartner)
- UAE/GCC: UAE National Media Council advertising standards and applicable GCC commercial advertising regulations
Failure to include mandatory disclosures required by your jurisdiction is solely the Influencer's responsibility.
08.Confidentiality
Any non-public information shared by RaabtaQR with the Influencer β including marketing strategies, product roadmap, pricing, campaign details, or internal processes β is confidential and must:
- Not be disclosed to any third party without prior written consent
- Not be used for any purpose other than fulfilling the obligations under this Agreement
- Be kept confidential for a period of 2 years after the conclusion of this Agreement
09.Representations & Warranties
The Influencer represents and warrants that:
- They are at least 18 years of age and legally capable of entering into this Agreement
- They possess full authority to enter into this Agreement
- No existing obligations conflict with the terms herein
- Their published follower/subscriber metrics are genuine and not artificially inflated
- The Content will not violate any applicable law or third-party rights
10.Indemnification
The Influencer agrees to indemnify, defend, and hold harmless RaabtaQR, its directors, employees, and affiliates from any claims, damages, liabilities, costs, or expenses arising from:
- Breach of this Agreement
- Violation of any applicable law
- Intellectual property infringement in the Content
- Misrepresentation or false claims made to the Influencer's audience
- Failure to include mandatory advertising disclosures
11.Term & Termination
This Agreement is effective from the date of acceptance until completion of the agreed services, unless terminated earlier.
RaabtaQR reserves the right to terminate this Agreement immediately if:
- Content harms RaabtaQR's brand reputation
- Any terms of this Agreement are breached
- Fraudulent engagement metrics or follower manipulation is detected
- The Influencer makes public statements damaging to RaabtaQR
Upon termination, the Influencer must cease use of RaabtaQR trademarks, return any confidential materials, and delete unpublished Content drafts.
Compensation already paid is non-refundable. Unpaid compensation for incomplete work will be forfeited.
12.Governing Law
This Agreement is governed by the laws of Pakistan. However:
- UK Influencers: The Agreement shall also be subject to any mandatory provisions of English law that cannot be contractually excluded
- EU Influencers: Mandatory consumer and employment protections under applicable EU law are not waived
- US Influencers: The Agreement does not waive any mandatory rights under applicable US federal or state law
- UAE/GCC Influencers: Applicable UAE/GCC advertising and commercial law obligations remain in force
Disputes shall first be addressed through good-faith negotiation. Unresolved disputes shall be subject to the jurisdiction of the courts of Rawalpindi, Pakistan.
13.Entire Agreement & Amendments
This document constitutes the entire understanding between RaabtaQR and the Influencer and supersedes all prior oral or written communications relating to this subject matter.
Any modifications to this Agreement must be made in writing and acknowledged by both parties (including electronic acceptance).
By accepting payment, gifted products, or participating in RaabtaQR's Influencer Programme, the Influencer acknowledges that they have read, understood, and agreed to this Agreement.
