01.Introduction
Thank you for your interest in becoming a RaabtaQR reseller or distributor. This document outlines the terms and conditions governing all reselling and distribution partnerships with RaabtaQR.
RaabtaQR is Pakistan's first privacy-first QR tag platform. Our products allow vehicle owners, homeowners, and professionals to be contacted by strangers without revealing their personal phone number. To explore our full product range, visit raabtaqr.com.
By placing a reseller order or accepting a distribution agreement with RaabtaQR, you agree to all terms set out in this document. This agreement is governed by the laws of Pakistan.
02.Minimum Order Requirements
- The minimum order quantity for becoming a RaabtaQR reseller is 500 units
- To qualify for exclusive distribution rights in a designated area, a minimum stock of 1,000 packs must be maintained at all times
- Pricing for bulk orders will be communicated to you by your dedicated RaabtaQR relationship manager
- All pricing information shared is confidential and must not be disclosed to third parties
03.Authorised Distribution Terms
As an authorised RaabtaQR reseller or distributor, you agree to the following:
- Products must not be sold loose or without their corresponding packaging/envelopes
- The selling price must adhere to the Maximum Retail Price (MRP) and must not fall below 90% of the MRP at any time
- All partners are expected to maintain exemplary customer relations — polite, honest, and professional at all times
- As an exclusive distributor for your designated area, you may receive bulk leads and orders, with your name featured on RaabtaQR's app and website
- All shipments will be handled exclusively by approved couriers — no self-pickup or self-drop is permitted, to maintain proper shipment documentation
- Requests for changes to the MRP or special packaging will not be entertained
04.Prohibited Practices
The following practices are strictly prohibited and will result in immediate termination of the distribution agreement:
- Selling RaabtaQR products below 90% of the MRP
- Misrepresenting product features, pricing, or brand claims to customers
- Selling RaabtaQR products on unauthorised platforms without prior written approval
- Creating counterfeit or imitation RaabtaQR products
- Stockpiling inventory without active marketing and sales efforts
- Making false promises to customers on behalf of RaabtaQR
- Sharing confidential pricing or business information with competitors
05.Exclusivity Rights
Exclusive distribution rights are granted on a city-by-city basis, subject to the following conditions:
- A minimum stock of 1,000 units must be maintained at all times
- Active sales and marketing activity must be demonstrated on a monthly basis
- RaabtaQR reserves the right to appoint a new distributor in any area if: (a) the agreement expires without renewal, (b) the distributor becomes unresponsive for 15+ days, or (c) minimum stock levels are not maintained
- Exclusivity does not prevent RaabtaQR from selling directly via its own website, app, or online marketplaces (Daraz etc.)
06.Agreement Duration & Renewal
- The distribution partnership agreement is valid for one year from the date of first order placement
- Renewal requires placing a new order of 1,000 units or more
- RaabtaQR will notify distributors at least 30 days before agreement expiry
- Failure to renew results in the loss of exclusive distribution rights for the designated area
07.Refund & Return for Distributors
- Refunds of up to 75% of the value of unsold items are available upon return of goods in original condition
- Upon receipt and verification of returned items, refunds will be processed within 10 business days
- All return and refund requests must be submitted within 15 days of product delivery
- Refunds are issued exclusively as credit — redeemable for future RaabtaQR product purchases
- No refunds or returns are applicable on customised products (custom-printed tags, branded packaging, or logo-customised items)
08.Shipping & Logistics
- All shipments are handled by approved courier partners (TCS, Leopards, M&P, or equivalent)
- No self-pickup or self-drop arrangements are permitted
- Shipping costs are the responsibility of the distributor unless otherwise agreed in writing
- Delivery timelines are subject to courier availability and cannot be guaranteed by RaabtaQR
- Any damage during transit must be reported within 48 hours of delivery with photographic evidence
09.Marketing Support & Salary Contribution
RaabtaQR is committed to supporting distributor success through:
- Free marketing materials: Pamphlets, brochures, branded merchandise, and digital assets — up to a maximum value of 25% of your purchase order
- Field executive salary contribution: RaabtaQR will contribute up to 50% of a field executive's salary (maximum PKR 5,000 per month) for the 2nd and 3rd months of their employment
- A minimum of 100 units sold per month by the field executive is required to qualify for the salary contribution
- Seven days' advance notice must be provided before the salary contribution programme begins
- Compensation is capped at one field executive per distributor at any given time
10.Termination
RaabtaQR reserves the right to terminate this agreement immediately, without refund or compensation, in the event of:
- Any breach of the terms outlined in this document
- Discovery of inventory stockpiling without active marketing or sales activity
- Misrepresentation of RaabtaQR products or brand to customers
- Non-payment for received stock
- Any action that damages RaabtaQR's reputation or brand
Upon termination, all unsold inventory must be returned within 15 days, and any outstanding payment obligations remain enforceable.
11.Governing Law
This agreement is governed by the laws of the Islamic Republic of Pakistan. Any disputes arising under this agreement shall be resolved through:
- Good-faith negotiation between the parties (minimum 30-day notice period)
- Mediation by a mutually agreed third party
- Formal legal proceedings in the courts of Rawalpindi, Punjab, Pakistan
International distributors (UAE, Saudi Arabia, UK, EU, USA) acknowledge that Pakistani law governs this agreement, subject to any mandatory protections afforded by their local jurisdiction's commercial law.
